The Tropical Society – Ambassador Program Terms & Conditions

1. Eligibility

1. Eligibility: You must be at least 18 years old to apply for or participate in the Ambassador Program. By applying or participating, you represent and warrant that you are 18 years of age or older. The Tropical Society may request proof of age at any time and will remove any participant who does not meet this requirement. The Ambassador Program is not open to anyone under 18 for any reason.

2. Ambassador Relationship

  • Ambassadors are independent contractors and are not employees, partners, or representatives of The Tropical Society.
  • Participation in the Ambassador Program is subject to approval and may be modified or revoked at any time at the brand's discretion, with or without notice.

3. Content Creation & Usage Rights

By joining the Ambassador Program and submitting, tagging, or sharing content related to The Tropical Society, you grant The Tropical Society a royalty-free, worldwide, perpetual, and irrevocable license to use your content for marketing and promotional purposes.

This includes, but is not limited to:

  • Social media posts
  • Paid advertisements
  • Website content
  • Email & SMS marketing
  • Promotional and digital materials

The Tropical Society may edit, crop, or adapt content while maintaining its original intent.

4. Paid Advertising Consent

By participating, you explicitly consent to The Tropical Society using your content in paid advertising across platforms including (but not limited to) Instagram, TikTok, Meta, Google, and other digital channels without additional compensation, unless otherwise agreed in writing.

5. Payment Disputes & Missing Commissions

Ambassadors are responsible for monitoring their own commissions and rewards. If an Ambassador believes a commission, payment, or reward is missing, incorrect, or delayed, they must notify The Tropical Society in writing at hello@thetropicalsociety.com within thirty (30) days of when the payment or reward was expected.

  • Notifications submitted more than 30 days after the expected payment date may be considered waived, and The Tropical Society has no obligation to investigate or remedy such claims.
  • The Tropical Society will make reasonable efforts to investigate and resolve valid claims within 45 business days of receipt of a written notice.
  • Delays in commission payments due to technical issues, third-party platform delays (including but not limited to Social Snowball, Shopify, payment processors, or banking systems), refund processing periods, audits, or other operational reasons do not constitute breach of this Agreement.
  • The Tropical Society reserves the right to delay or withhold payments pending investigation of fraud, refunds, chargebacks, or other irregularities. Such delays do not entitle Ambassador to additional compensation, damages, or interest.
  • Ambassador agrees that escalating payment disputes publicly (including on social media) or through third parties without first attempting to resolve via the process outlined above constitutes a breach of this Agreement.

6. Brand Representation

  • Ambassadors agree to represent The Tropical Society in a positive, respectful, and authentic manner.
  • Content that is misleading, offensive, discriminatory, or harmful to the brand may result in immediate removal from the program.

7. Non-Disparagement

Ambassadors agree not to make or publish any negative, false, harmful, misleading, or defamatory statements about The Tropical Society, its products, employees, owners, affiliates, customers, or other ambassadors — during their participation in the program and indefinitely thereafter, with no expiration.

This includes, but is not limited to, statements made on social media (TikTok, Instagram, Twitter, Reddit, YouTube, Threads, BlueSky, and any other current or future platforms), written reviews (Google, Trustpilot, BBB, and similar), verbal communications to third parties, podcasts, blogs, and any other public or semi-public communications.

Violation of this clause constitutes a material breach and may result in legal action.

8. Confidentiality

Ambassadors may receive access to non-public information about The Tropical Society, including but not limited to: upcoming product launches, pricing strategies, internal campaign materials, ambassador group communications, discount structures, marketing plans, internal performance data, and proprietary business information.

Ambassadors agree to keep all such information strictly confidential and not to share, disclose, copy, screenshot, or use it for personal gain or for any third party.

Confidentiality obligations continue indefinitely, even after participation in the program ends.

9. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination from the program, forfeiture of all earned rewards, and recovery of any rewards already paid:

  • Using the Ambassador's own discount code for personal purchases
  • Self-referrals through fake, duplicate, or alternate accounts
  • Fraudulent or deceptive use of codes, links, or referral systems
  • Reselling products purchased through ambassador discounts
  • Bidding on The Tropical Society's trademarks or brand name in paid advertising (Google Ads, Meta Ads, TikTok Ads, etc.)
  • Using The Tropical Society's branding, trademarks, logos, or content for any business or commercial purpose outside the scope of this Agreement
  • Creating fake or misleading endorsements

10. FTC Disclosure

Ambassadors are responsible for complying with all applicable FTC guidelines and laws regarding endorsements and material connections. Ambassador must clearly and conspicuously disclose their relationship with The Tropical Society in all content promoting the brand, using whatever disclosure method satisfies FTC requirements (such as #Ad, #Sponsored, #Gifted, #Ambassador, or similar). The Tropical Society is not responsible for an Ambassador's failure to comply with disclosure requirements.

11. Communications & AI-Assisted Messaging

Some communications from The Tropical Society — including direct messages, automated replies, chatbot responses, and customer service interactions — may be assisted or generated by artificial intelligence (AI) or automated systems.

While we work to ensure accuracy, AI-generated messages may occasionally contain errors, inaccuracies, or statements that do not reflect official Tropical Society policies, offers, or guarantees.

Only written confirmations from The Tropical Society sent through official email addresses (ending in @thetropicalsociety.com) or formally documented agreements are binding. Statements made through AI-assisted channels, social media DMs, comments, or informal communications do not create binding obligations on The Tropical Society and should not be relied upon as official program terms.

12. Termination

  • The Tropical Society may terminate an ambassador's participation at any time, with or without cause and with or without notice.
  • Ambassadors may opt out at any time. To ensure proper deactivation of codes and benefits, ambassadors are encouraged to notify The Tropical Society at hello@thetropicalsociety.com.
  • Upon termination or opt-out, any unused rewards, credits, commissions, or pending PR opportunities may be forfeited.

13. Program Changes

The Tropical Society may change, pause, or discontinue any program benefit, reward, discount, commission rate, or feature at any time, at its discretion. Current benefits are those listed on our active program pages.

14. Limitation of Liability

The Tropical Society is not responsible for lost income, platform issues, algorithm changes, technical disruptions, or any indirect, incidental, or consequential damages that may affect ambassador performance or earnings.

15. Indemnification

Ambassador agrees to indemnify and hold harmless The Tropical Society, its owners, employees, affiliates, and partners from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from Ambassador's breach of this Agreement, FTC violations, infringement of third-party rights, unlawful conduct, or content posted in connection with the brand.

16. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles.

Any disputes arising from this Agreement shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. By participating, Ambassador consents to personal jurisdiction in these courts and waives any objection to venue or forum.

17. Entire Agreement

This Agreement constitutes the entire agreement between Ambassador and The Tropical Society regarding the Ambassador Program and supersedes all prior or contemporaneous agreements, communications, promises, or representations — whether written, verbal, or sent through social media DMs, comments, chatbots, or automated systems. Any modifications must be in writing and acknowledged by The Tropical Society via official email from an @thetropicalsociety.com address.

18. Severability

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

19. Acceptance

By submitting an application to the Ambassador Program, checking the acceptance box on the signup form, signing up via the affiliate dashboard, or by continuing to participate in the program after notification of these terms, Ambassador acknowledges that they have read, understood, and agreed to be bound by these Terms & Conditions.
